Acceptance requirements

A foreign-invested limited liability company may register an alteration when all of the following conditions are met:

1. There is an alteration in company registration items;

2. When an alteration in the company registration items must be reported for approval in accordance with the law, administrative regulations and decisions of the State Council, and has been approved by the relevant licensing authorities;

3. If an alteration of the company registration items is on the list of the Special Administrative Measures for the Access of Foreign Investment (Negative List) or involves foreign-funded mergers and acquisitions, and the approval of the relevant authority has been issued; 

4. A resolution or decision on the alteration has been made by the company in accordance with the law.
